# 企业登记

本文将说明为什么需要进行企业登记，以及如何办理登记。

营业执照注册不是必需的，但如果要使用应用内支付、Toss Pay、促销、Biz Wallet、Toss 登录，则是必需的。 

不过，应用内广告即使不注册营业执照，也可以发放广告 ID 并开始变现。

### 注册营业执照前必须了解的事项

* 营业执照上登记的经营项目必须与迷你应用提供的服务项目一致。如果经营项目不同，迷你应用的上线可能会受限。
* 商家信息在 Apps in Toss 控制台 > Workspace 的“我的信息”菜单中登记。
* 提交符合商家类型的文件并申请审核后，通常需要 1～2 个工作日。

* 因个人原因等无法进行税务工作，或无法开具税务发票的商家，因无法按相关法规进行纳税申报，正常服务运营会受到限制。
* 增值税免税商家无法在 Apps in Toss 注册营业执照。
* 如果在服务上线后确认存在上述原因，Toss 可能会在通知合作方后，采取停止变现功能或暂停服务运营的措施。

### 需要营业执照注册的功能

以下功能需要合同、支付、结算，或者与用户认证直接关联。因此，必须进行个人或法人营业执照注册，并同意相关条款。

* Toss 登录：使用 Toss 账号认证用户。
* 业务钱包：管理营销预算。
* 促销：根据用户的特定行为发放 Toss 积分。
* 应用内广告：在应用内展示广告并创造收益。
* 应用内支付：在应用内销售商品或服务。
* Toss Pay：使用 Toss 支付方式收款。

### 注册法人企业

法人企业原则上需要提交以下五种文件。

* 营业执照、法人登记簿副本、法人印鉴证明书、代理人授权委托书、代理人身份证复印件

如果由代表人本人直接注册， **营业执照和法人登记簿副本**即可。

* 法人登记簿副本 **以签发日期为准 3 个月内** 的文件才被认可。超过 3 个月的文件不能用于商家认证。
* 如果是共同代表，则需要所有共同代表的授权委托书和法人印鉴证明书。
* 即使只由共同代表中的一人申请，也必须提交其他代表人的授权委托书和法人印鉴证明书。

### 注册个人工商户

个人工商户请提交以下四种文件。

* 营业执照、个人印鉴证明书、代理人授权委托书、代理人身份证复印件

如果由代表人本人直接注册， **营业执照**即可。

### 应用内广告商家注册宽限

在应用内广告变现时，可以延后注册商家及结算信息。

* 如果工作区的累计预估收益低于 5,000 韩元，可以延后注册商家及结算信息。
* 即使累计预估收益已达到 5,000 韩元，但尚未注册商家及结算信息，也会给予 5 个工作日的宽限期。
* 在宽限期内如果未完成商家及结算信息的注册和审批，迷你应用将暂时不显示。
* 完成商家注册及结算信息审批后，可以重新显示迷你应用。

* 《增值税法》规定需在开展业务前完成商家注册；如果在业务开始后仍持续延迟商家注册，请注意可能存在以下风险。
  * 延迟商家注册附加税：自业务开始之日起至注册申请前一日的供应价值所对应的附加税（供应价值的 1%）
  * 遗漏增值税申报
  * 未开具税务发票附加税
